Tadelu Terms Of Service

Introduction

In order to provide our Services (as defined hereinafter) through our apps, services, features, software, or website, we need to obtain your express agreement to our Terms of Service ("Terms"). You agree to our Terms by registering, installing, accessing, or using our apps, services, features, software, or website. For the purposes of this document, ‘we’, ‘us’ and ‘our’ refers to Tadelu, Inc ("Tadelu") and ‘you’ refers to you, the user of the Services.

Our Services

Security

At this time we provide an end-to-end encryption messaging system "Tadelu Mail". Tadelu Mail enables secure communication by enabling key-pair generation on your device, encryption of the message, transmission of such message through our servers, and subsequent receipt of the encrypted message by the recipient who previously shared his/her public key for the purpose of decrypting of the message. At this time and it's our plan in the future to act as a relay of the encrypted messages, and since the key pairs are generated on the end-user devices the server would not be able to decrypt the messages which may be waiting to be received. We rely on strong encryption algorithms for encryption and key-exchanges, however there is no guarantee that now or in the future a potential weakness in our code or the code of the algorithm won't be compromised.

Safety

Since the messages are encrypted and we don't have any visibility into the message contents, we're limited to control abusive or otherwise offensive behavior by our users. If such behavior is detected, please let us know and we'll try to resolve the matter; however, we don't guarantee a resolution to such matters.

Acceptable Use Of Our Services

You must use our Services according to our Terms and policies. If you violate our Terms or policies, we may take action with respect to your account, including disabling or suspending your account and, if we do, you must not create another account without our permission. You must access and use our Services only for legal, authorized, and acceptable purposes. You will not use (or assist others in using) our Services in ways that: (a) violate, misappropriate, or infringe the rights of Tadelu our users, or others, including privacy, publicity, intellectual property, or other proprietary rights; (b) are illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, racially or ethnically offensive, or instigate or encourage conduct that would be illegal or otherwise inappropriate, including promoting violent crimes; (c) involve publishing falsehoods, misrepresentations, or misleading statements; (d) impersonate someone; (e) involve sending illegal or impermissible communications, such as bulk messaging, auto-messaging, auto-dialing, and the like; or (f) involve any non-personal use of our Services unless otherwise authorized by us. You must not (or assist others to) directly, indirectly, through automated or other means access, use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sublicense, transfer, display, perform, or otherwise exploit our Services in impermissible or unauthorized manners, or in ways that burden, impair, or harm us, our Services, systems, our users, or others, including that you must not directly or through automated means: (a) reverse engineer, alter, modify, create derivative works from, decompile, or extract code from our Services; (b) send, store, or transmit viruses or other harmful computer code through or onto our Services; (c) gain or attempt to gain unauthorized access to our Services or systems; (d) interfere with or disrupt the safety, security, or performance of our Services; (e) create accounts for our Services through unauthorized or automated means; (f) collect the information of or about our users in any impermissible or unauthorized manner; (g) sell, resell, rent, or charge for our Services in an unauthorized manner; (h) distribute or make our Services available over a network where they could be used by multiple devices at the same time, except as authorized through tools we have expressly provided via our Services; or (i) create software or APIs that function substantially the same as our Services and offer them for use by third parties in an unauthorized manner. You are responsible for keeping your device and your Tadelu account safe and secure, and you must notify us promptly of any unauthorized use or security breach of your account or our Services.

Licenses

We own all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with our Services. You may not use our copyrights, trademarks, domains, logos, trade dress, patents, or other intellectual property rights unless you have our express permission. We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use our Services, subject to and in accordance with our Terms. This license is for the sole purpose of enabling you to use our Services in the manner permitted by our Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you.

Indemnity

You agree, to the extent permitted by law, to indemnify, defend, and hold harmless Tadelu, our affiliates, directors, officers, stockholders, employees, licensors, and agents from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Services; (b) your content; and (c) your breach of these Terms.

Limitation to Liability

To the maximum extent permitted by law, Tadelu and our managing members, shareholders, employees, affiliates, licensors, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Services; (b) the conduct or content of other users or third parties on or through the Services; or (c) unauthorized access, use, or alteration of your content, even if Tadelu has been advised of the possibility of such damages. in no event will Tadelu’s aggregate liability for all claims relating to the services exceed the greater of $100 usd or the amount you paid Tadelu, if any, in the last 12 months.

Services are provided “as is” and “as available” and to the extent permitted by law without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. in addition, while Tadelu Inc. attempts to provide a good user experience, we do not represent or warrant that: (a) the services will always be secure, error-free, or timely; (b) the services will always function without delays, disruptions, or imperfections; or (c) that any content, user content, or information you obtain on or through the services will be timely or accurate. Tadelu Inc. takes no responsibility and assumes no liability for any content that you, another user, or a third party creates, uploads, posts, sends, receives, or stores on or through our services. you understand and agree that you may be exposed to content that might be offensive, illegal, misleading, or otherwise inappropriate, none of which Tadelu Inc. will be responsible for.

Jurisdiction

Except to the extent they are preempted by U.S. federal law, the laws of Illinois, other than its conflict-of-laws principles, govern these Terms and any claims and disputes (whether contract, tort, or otherwise) arising out of or relating to these Terms or their subject matter.

Severability

If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
